Confidentiality & Non-Compete Agreement — Infrastructure Partnership
This Agreement ("Agreement") is entered into between Worldvelopers / Ilias Dumlupinar ("Discloser") and the company identified below ("Recipient"), for the purpose of evaluating a technology infrastructure partnership.
1. Confidential Information
All technical, commercial, financial, architectural, source code, roadmap, metrics, contracts, pricing, processes, documentation, diagrams, system access, credentials, go-to-market strategies, client/prospect lists, and any data accessed via worldvelopers.com/architecture or related partnership discussions constitutes "Confidential Information". Strict confidentiality for 10 years from signing, plus 5 additional years for technical trade secrets.
2. Absolute non-disclosure
Recipient shall not disclose, publish, demonstrate, copy, transmit, or allow access to Confidential Information to any third party without prior written consent. Exceptions: information already public through no fault of Recipient, or legal compulsion (with prior notice to Discloser).
3. Non-compete & non-circumvention
For 5 years from signing, Recipient shall not, directly or indirectly, develop, market, invest in, or assist any third party in developing: (a) a multi-brand CRM hub replicating Worldvelopers architecture; (b) an AI ops/VPS agent comparable to Aldo for multi-SaaS infrastructure; (c) a competing verticalized portfolio (hospitality + loyalty + NFC + social gaming + AI studio) using the same disclosed technical combination; (d) any substitute offering targeting the same partners or markets addressed in this exchange. No solicitation of Worldvelopers team for 3 years.
4. Limited use
Confidential Information may only be used to evaluate and, if applicable, execute an infrastructure partnership with Worldvelopers. Any other use is prohibited.
5. Intellectual property
No licence is granted. All IP, trademarks, code, architectures and methodologies remain exclusive property of Discloser. Recipient may not file patents/trademarks based on Confidential Information.
6. Return & destruction
Upon request or end of negotiations, Recipient destroys or returns all copies within 15 days, with written certification.
7. Damages & enforcement
Recipient acknowledges breach would cause irreparable harm. Discloser may seek injunction and damages. Minimum contractual liquidated damages of EUR 250,000 per material breach, without prejudice to higher proven damages.
8. Governing law
French law. Courts of Quimper (France) shall have jurisdiction, subject to injunctive relief in any jurisdiction. For non-EU partners: ICC Paris arbitration as last resort if separately agreed in writing.
9. Electronic signature
The electronic handwritten signature below constitutes an original signature (eIDAS / international commercial practice). Initial status: PENDING VALIDATION by Worldvelopers administrator. Full partner access is effective only after explicit approval.
